We are not involved in the actual transactions between Buyers and Sellers. As a result, we exercise no control over quality, safety, or legality of the products offered for sale, the truth or accuracy of any Listings posted by the Buyers or Sellers, the ability of Sellers to sell items or the ability of Buyers to buy items. We cannot, and do not, control whether or not Sellers will complete the sale of items they offer or Buyers will complete the purchase of, or pay for, items they have ordered. Spaceracing.com provides access to products provided by Sellers who we do not control. We do not verify, and do not guarantee, the accuracy of the information that we receive from Buyers or Sellers. All information, prices and availability are subject to change without notice. We are not responsible for breach of contract or any intentional or negligent action on the part of Buyers and Sellers that results in any loss, damage, delay or injury. Because we are not involved in sales through Spaceracing.com, in the event that you have a dispute with a Buyer or Seller, you release us (and our agents and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected disclosed and undisclosed, arising out of, or in any way connected with, such disputes.

Limitation of Liability In no event are we liable for any special or consequential damages that are directly or indirectly related to the use of, or the inability to use, the services on Spaceracing.com or Spaceracing.com programs, software or printed materials, even if we have been advised of the possibility of such damages.

No Warranty The accuracy and Reliability of the content on Spaceracing.com is not guaranteed. The content from or through Spaceracing.com is provided "As is" and all warranties, either express or implied are disclaimed including, without limitation, non-infringement, merchantability or fitness for a particular purpose. Breach We may terminate user access or suspend any user's access to all or part of Spaceracing.com without notice for any conduct that we, in our sole discretion, believe violates any applicable law or is harmful to us, or if such party is found to have engaged in fraudulent activity in connection with Spaceracing.com

Specific Terms for Buyers If you are a Buyer, you agree to complete all transactions for which you place an order with a Seller, except in exceptional circumstances (for example, in the event a Seller materially changes the description of the product after the Buyer has placed an order).

Specific Terms for Sellers If you are a seller, you agree to: (1) pay any supplier fee applicable to you for using Spaceracing.com, as set forth in that certain supplier agreement entered into between you and us (the "Supplier Agreement"); (2) complete all transaction for which you receive an order at a stated price from a Buyer, except in exceptional circumstances (for example, if the Buyer fails to meet the terms of the Seller's listing, or if the seller cannot authenticate the identity of the Buyer); (3) provide accurate and truthful information concerning products sold by you on the Spaceracing.com Web site, including the prices for such products, and regularly update such information; (4) pay transaction fees as established by us; and (5) sell products on Spaceracing.com, and be bound by these Terms, as may be amended, for the period set forth in the Supplier Agreement.

Indemnity Buyer and Seller shall indemnify, defend and hold us harmless and our employees, agents, successors, officers and assigns, for any and all suits, losses, claims demands, liabilities, costs and expenses (including reasonable attorneys' fees and paralegal fees) that we may sustain or incur, arising from or out of a respective: (1) Buyer's or Seller's failure to comply with any applicable laws and/or regulations; (2) Buyer's or Seller's breach of any of its obligations set forth in these Terms; or (3 Buyer's or Seller's use of Spaceracing.com.

No Agency The sellers and Buyers are independent contractors, and no employee-employer, partnership, agency, joint ventures or franchiser-franchisee relationship is, or is intended to be, created by these Terms.

Supplier Fees, Taxes, Etc All suppliers fees set forth in any Supplier Agreement to which you are a party for Spaceracing.com are incorporated herein by reference. You are responsible for paying or collecting all applicable taxes and for all hardware, software, services and other costs you incur to purchase or sell high performance automotive parts or other related goods on Spaceracing.com or access our servers. Unless otherwise stated, all fees and all prices contained on Spaceracing.com are quoted in U.S. Dollars. Your Information, You agree that any information provided by you and the sale of any products through Spaceracing.com: (1) shall bot be fraudulent; (2) shall not infringe any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy; (3) shall not violate any law, statute, ordinance or regulation; (4) shall not be defamatory, trade libelous, unlawfully threatening or Unlawfully harassing; (5) shall not be obscene; and (6) shall not contain any viruses, Trojan horses, worms, time bombs, or other disabling devices that are intended to damage detrimentally interfere with surreptitiously intercept or expatiate any system, data or personal information. System Integrity, You agree that you may not use any device, software or routine to interfere or attempt to interfere with the proper working of Spaceracing.com. You may not take any action that imposes an unreasonable or disproportionately large load on our infrastructure. You may not disclose your password to, or share your password with, any third parties. You may not use your password for any unauthorized purpose.

All information, including, without limitation, text graphics, software and all HTML, CGI and other codes and scripts in any format used to implement Spaceracing.com ("Content") are our property or that of our licensors. The Content on Spaceracing.com is for personal use only. You may not copy, modify, upload, download, transmit, 9re) publish or otherwise distribute any Content from Spaceracing.com except as Expressly permitted by these terms and conditions. Doing so will violate our copyright, trademark and other proprietary rights.
